By using our website, booking a discovery call, or purchasing any service from 941 Operations, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and 941 Operations ("Company," "we," "us," or "our"), governing your access to and use of our website (www.941ops.com) and any services we provide, including virtual operations management, operations audits, consulting, and related administrative support .
By accessing our website, booking a discovery call, or purchasing any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services .
We reserve the right to update or modify these Terms at any time without prior notice. Changes become effective immediately upon posting. Your continued use of our website or services after any changes constitutes acceptance of the revised Terms .
2. Definitions

Eligibility:Â Our Services are available only to businesses and individuals who are at least 18 years of age and can form legally binding contracts under applicable law. By using our Services, you represent and warrant that you meet these requirements .
US-Based Business Requirement:Â 941 Operations provides Services exclusively to:

Business owners who are United States citizens residing within U.S. borders.
By engaging our Services, you certify that you and your business satisfy these eligibility criteria. Providing false or misleading information regarding eligibility constitutes a material breach of these Terms and may result in immediate termination of Services without refund.
Account Responsibility:Â If you create an account with us, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account .
Prohibited Conduct:Â You agree not to:

4. Description of Services
941 Operations provides virtual operations management and administrative support to US-based small businesses. Our primary service offerings include :

Operations Audit ("Find the Leak")A two-week deep-dive analysis of Client's workflows, tools, and finances, resulting in a written report with prioritized fixes and a 30-day roadmap.One-time fee of $1,200
Operations Management ("Daily Chaos Fix")Ongoing management of Client's calendar, email, invoicing, vendor coordination, and document organization.Monthly retainer of $800–$1,200
Complete Operations Package ("Backend Takeover")Comprehensive operations outsourcing including project management, operations management, metrics reporting, people systems, and an initial operations audit.Monthly retainer of $2,500 (3-month minimum)
All Services are performed remotely unless otherwise agreed in writing. Specific deliverables, timelines, and exclusions will be detailed in a separate Statement of Work or Service Agreement signed by both parties prior to commencing Services.
5. Payment Terms
Fees and Invoicing:Â All fees for Services are as published on our website or as quoted in a signed Service Agreement. For monthly retainers, invoices are issued on a recurring monthly basis. For one-time projects (e.g., Operations Audit), 50% of the total fee is due upfront, with the remaining 50% due upon delivery of the final report .
Payment Methods:Â We accept payment via Stripe, credit card, or bank transfer. All payment processing is handled through Stripe, a PCI Level 1 certified payment processor . By providing your payment information, you authorize us to charge the applicable fees to your designated payment method.
Late Payments:Â Invoices not paid by the due date may accrue interest at a rate of 1.5% per month (or the maximum permitted by law). We reserve the right to suspend or terminate Services for any account that is past due.
Taxes:Â You are responsible for any applicable sales, use, or other taxes associated with your purchase of Services. As a Florida-based business providing professional services, we do not generally collect sales tax; however, you remain responsible for self-reporting any use tax obligations .
6. Cancellation and Refund Policy
Monthly Retainers (Operations Management and Complete Operations Package):

You may cancel your monthly retainer by providing 30 days' written notice via email to hello@941ops.com .

All monthly retainer fees are non-refundable. No refunds or credits will be issued for partial months.

If you cancel with less than 30 days' notice, you will be charged for one additional month.
Project-Based Services (Operations Audit and similar):

You may cancel within 5 business days of the scheduled start date for a 50% refund of any upfront fees paid. Cancellation after 5 business days forfeits all fees paid.

Once the final deliverable has been delivered to you, no refunds will be issued.
No-Shows for Scheduled Calls:Â If you fail to attend a scheduled discovery call, strategy session, or consulting hour without canceling at least 2 hours in advance, you forfeit any fees paid for that session.
Right to Terminate by Company:Â We reserve the right to suspend or terminate Services immediately if you breach any provision of these Terms, fail to pay fees when due, or engage in conduct that we determine, in our sole discretion, to be harmful to our business or other clients .
7. Client Responsibilities and Cooperation
To ensure successful delivery of Services, you agree to:

Provide timely access to necessary documents, tools, and personnel as reasonably requested

Respond to emails and requests for information within 3 business days

Designate a primary point of contact responsible for communications with us

Maintain backups of your own data; we are not responsible for data loss

Comply with all applicable laws and regulations in your use of our Services
Failure to meet these responsibilities may delay Service delivery. We are not liable for delays caused by your failure to cooperate.
8. Intellectual Property Rights
Our Property: All content on our website — including text, graphics, logos, images, service descriptions, SOP templates, and any materials we create specifically for you (excluding your confidential information) — is the exclusive property of 941 Operations or our licensors and is protected by United States and international copyright laws .
Limited License:Â Upon full payment for Services, we grant you a non-exclusive, non-transferable license to use any deliverables (e.g., audit reports, SOP manuals) for your internal business purposes. You may not resell, redistribute, or publicly display these deliverables without our prior written consent.
Your Content:Â You retain ownership of any content, documents, or data you provide to us. By providing such content, you grant us a limited license to access, use, and store it solely for the purpose of performing the Services.
Feedback:Â Any suggestions, ideas, or feedback you provide regarding our Services may be used by us without restriction or compensation to you.
9. Confidentiality
We understand that you may share sensitive business information with us. We agree to use reasonable care to maintain the confidentiality of any non-public information you designate as confidential, and to use such information solely for the purpose of performing Services. This obligation does not apply to information that:

Is or becomes publicly available through no fault of ours

Was already in our possession without confidentiality obligations

Is independently developed by us without use of your confidential information

Is required to be disclosed by law or court order
You agree to maintain the confidentiality of our proprietary methodologies, pricing, and internal processes disclosed during our engagement.
10. Disclaimer of Warranties
THE SERVICES AND WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, 941 OPERATIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT .
We do not warrant that:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 941 OPERATIONS, ITS OWNERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES .
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the limitation of liability for certain types of damages, so this limitation may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless 941 Operations and its owners, employees, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

13. Governing Law and Dispute Resolution
Governing Law:Â These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles .
Venue and Jurisdiction: Our business is physically located in Venice, Florida (Sarasota County). Any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state courts located in Sarasota County, Florida, or the federal courts for the Middle District of Florida. You irrevocably consent to the personal jurisdiction of such courts .
Informal Resolution: Before filing a lawsuit, you agree to attempt to resolve any dispute informally by contacting us at hello@941ops.com. We will attempt to resolve the dispute within 30 days of receiving your notice.
14. Limitation of Time to File Claims
Any claim or cause of action arising out of or relating to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose; otherwise, it is permanently barred.
15. Severability and Waiver
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless expressly acknowledged and agreed to by us in writing.
16. Entire Agreement
These Terms, together with any signed Service Agreement, Statement of Work, or Invoice accepted by both parties, constitute the entire agreement between you and 941 Operations regarding the subject matter hereof and supersede all prior or contemporaneous communications, whether electronic, oral, or written.
